Introduction and Terms of Use

This document/agreement/understanding is a computer-generated electronic record published in terms of Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (amended from time to time) read with Information Technology Act, 2000 (amended from time to time) and does not require any physical or digital signatures.

The terms and conditions contained hereinafter ("TERMS OF USE") shall apply to the use of the website https://rize.razorpay.com/ and any other linked pages, products, software(s), API keys, features, content or application services (including but without limitation to any mobile application services) in connection therewith, offered from time to time by RZPX Private Limited ("RIZE" or "WE" or "OUR" or "US") (collectively, "WEBSITE"). The Terms of Use are to be read along with Privacy Policy  (together “POLICIES”).

Any person, either a natural or legal person, logging on to or using or accessing the Website (even when such person does not avail of any services provided in the Website ("SERVICES")) (hereinafter referred to as a "USER" or "YOU") shall be presumed to have read these Terms of Use and unconditionally and irrevocably accepted the terms and conditions set out herein. These Terms of Use, together with the rest of the Policies, constitute a binding and enforceable agreement between you and Rize. Upon incorporation of the company, the Users and its company’s liabilities will be joint and several for any breaches or damages.

Illegality or unenforceability of one or more provisions of these Terms of Use shall not affect the legality and enforceability of the other terms of the Terms of Use. For avoidance of doubt, if any of the provisions becomes void or unenforceable, the rest of the provisions of these Terms of Use shall be binding upon you.

These Terms of Use may be revised or altered by us at our sole discretion at any time without any prior intimation to you. Any such changes by Rize will be effective immediately. By continuing to use this Website and / or the Services, you agree to be bound by such revisions or alterations. You are solely responsible for understanding and complying with all applicable laws of your specific jurisdiction, that may be applicable to you in connection with your business and use of our Services.

Information Required

‍

1. As a User, you will have to complete the Rize application form, that requests information necessary to apply for a Razorpay Rize account. More specifically, you must provide, and we will collect,  detailed information about your business, that may include but is not limited to:
   1.1 Details on your product and business model,
   1.2 Personal information including but not limited to name, phone number, email address of each of your company’s directors, and
   1.3 Business information for both any newly formed Indian entity as well as any Indian or foreign parent entity including legal name, address, CIN, and that parent entity’s organizational documents.
2. You consent Rize to share the information specified in Clause 1.1 above to its partners and affiliates for providing the Services and/or enabling Rize’s partners and affiliates to provide their services. You may revoke the consent by sending an email to the Rize team at <rize-registrations@razorpay.com>.
3. You acknowledge and agree that when we review your Rize application or any related information, or at any later time, we reserve the right, in our sole discretion, to choose not to provide any aspect of the Services to you. You will have no recourse, and we will have no liability, if at any time we or any service providers, or our partners or collaborators in Rize decline to do business with you.

Provision of the Services being offered by Rize

1. Subject to the Policies, Rize offers the Services set out herein.

2. As part of this continuing process, you acknowledge and agree that Rize may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to Users generally at Rize's sole discretion, without any prior notice.

3. By using our Services, you agree that Rize disclaims any liability or authenticity of any information that may have become outdated since the last time that particular piece of information was updated. Rize reserves the right to make changes and corrections to any part of the content of this Website at any time without any prior notice to you. Unless stated otherwise, all pictures and information contained on this Website are believed to be in the public domain as either promotional materials, publicity photos, photoshoot rejects or press media stock.

4. The Rize team will review the application submitted by you and communicate your acceptance or rejection. If accepted, you shall be required to accept specific terms and conditions in order to be admitted to the Rize community.

Eligibility

‍

1. Any person who is competent to contract under the Indian laws is eligible to access or visit the Website or avail the Services displayed therein. Your use or access of the Website shall be treated as your representation that you are competent to contract and if you are registering as a business entity, then you represent and warrant that you have the authority to bind such business entity to the Terms of Use.

2. You hereby represent and warrant that you will be financially responsible for all your usage (including the purchase of any Service) and access of the Website. You shall also be responsible for the use of your account by others. The Terms of Use shall be void where prohibited by applicable laws, and the right to access the Website shall automatically stand revoked in such cases.

Content in the Website

‍

1. For the purposes of these Terms of Use, the term "CONTENT" includes, without limitation, information, data, text, logos, photographs, videos, audio clips, animations, written posts, articles, comments, software, scripts, graphics, themes and interactive features generated, provided or otherwise made accessible on or through the Website/ Services.

2. You should be aware that Content presented to you as part of the Services, including but not limited to advertisements in the Services and sponsored Content within the Services may be protected by intellectual property rights which are owned by the sponsors or advertisers who provide that Content to Razorpay’s group company (or by other persons or companies on their behalf). You may not modify, rent, lease, loan, sell, distribute or create derivative works based on this Content (either in whole or in part) unless you have been specifically told that you may do so by Razorpay or by the owners of that Content, in writing and in a separate agreement.

3. Rize reserves the right (but shall have no obligation) to pre-screen, review, flag, filter, modify, refuse or remove any or all Content from any Service.

4. You hereby consent that Rize reserves the right to moderate, publish, re-publish, and use all User generated contributions and comments (including but not limited to reviews, profile pictures, comments, likes, favourites, votes) posted on the Website as it deems appropriate (whether in whole or in part) for its product(s), whether owned or affiliated. Razorpay is not liable to pay royalty to any User for re-publishing any content across any of its platforms.

5. If you submit any material on the Website, you agree thereby to grant Razorpay the right to use, moderate, publish any such work worldwide for any of its product(s), whether owned or affiliated. You understand and agree that the Rize team may create Merchant IDs (MIDs) upon the receipt of your account registration request in order to identify Rize members when, and if, they wish to get onboarded as a merchant with Razorpay.

6. You understand that by using the Services you may be exposed to Content that you may find offensive, indecent or objectionable and that, in this respect we hereby disclaim any and all liability and that your use of the Services will be at your own risk.

Proprietary Rights

‍

1. You acknowledge and agree that Razorpay (or Razorpay's licensors) owns all legal and proprietary right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services, Website, excluding your content (whether those rights happen to be registered or not, and wherever in the world those rights may exist).

2. Unless you have agreed otherwise in writing with Razorpay, nothing in the Terms of Use gives you a right to use any of Razorpay's trade names, trademarks, service marks, logos, domain names, and other distinctive brand features.

3. Unless you have been expressly authorized to do so in writing by Razorpay, you agree that in using the Services, you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized User of such marks, names or logos.

Exclusion of Warranties

1. In particular, Rize, its subsidiaries and affiliates, and its licensors do not represent or warrant to you that:
   1.1 The information or Contents provided on the Website are accurate, complete and updated;
   1.2 Your use of the Services will meet your requirements;
   1.3 That defects in the operation or functionality of any software provided to you as part of the Services will be corrected.

2. Any material downloaded or otherwise obtained through the use of the Website is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.
3. You expressly understand and agree that your use of the Website is at your sole risk and that the Services are provided on an "as is" and "as available" basis. No advice or information, whether oral or written, obtained by you from Rize or from the use of Website shall create any warranty not expressly stated in these Terms of Use.
4. Rize further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.

Representations and Warranties of User

‍

1. You hereby represents and warrants:
   1.1 In case of a natural person, you have a conscious mind fit and proper to enter into these Terms of Use, you are a resident of India with valid credentials and in case of an entity, the entity is legally eligible to carry out or operate a business in India;
   1.2 You can use the Rize logo and declare association with Rize, provided you have obtained prior written consent from the Rize team.
   1.3 You warrant that all information provided to Razorpay is true and accurate, Razorpay is entitled to rely on such information.

Limitation of Liability

‍

1. Subject to the overall provisions stated above, you expressly understand and agree that Razorpay, its subsidiaries, affiliates, promoters, directors, employees, agents and licensors shall not be liable to you for:
   1.1 Any direct, indirect, incidental, special, consequential, punitive or exemplary damages which may be incurred by you.
   1.2 The deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the Services;
2. The maximum liability to be incurred by Rize/ Razorpay under this Terms of Use is INR 5,000. The limitations on Rize's liability to you shall apply whether or not Rize has/ had been advised of or should have been aware of the possibility of any losses to you.

Confidentiality

‍

1. You may receive or have access to certain confidential and proprietary information belonging and/or relating to Rize and its affiliates not generally available to the public, and any items in any form in writing or oral, clearly identified as confidential ("CONFIDENTIAL INFORMATION").

2. You shall notify Rize immediately upon discovery of any unauthorized access or use of Confidential Information or any other breach of this Clause. 

3. You will cooperate with Rize in every reasonable way to help Rize regain possession of such Confidential Information and prevent its further unauthorized use.

Advertising

‍

1. Some of the Services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information.

2. The manner, mode and extent of advertising by Rize on the Services are subject to change without any specific notice to you.

3. In consideration for Rize granting you access to and use of the Services, you agree that Rize may place such advertising on the Services.

Governing Law, Settlement of Disputes and Jurisdiction

‍

1. These Terms of Use and any dispute or claim arising under it will be governed by and construed in accordance with the laws of India. You agree that any legal action or proceedings arising out of these Terms of Use or in connection with these Terms of Use may be brought exclusively  in the competent courts/ tribunals having jurisdiction in Bengaluru, India and you irrevocably submit yourself to the jurisdiction of such courts/ tribunals.

Privacy

‍

1. UPON ACCEPTANCE OF THESE TERMS OF USE YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD AND UNEQUIVOCALLY ACCEPTED OUR POLICIES, INCLUDING THE PROVISIONS OF OUR PRIVACY POLICY.

2. You may address any complaints or discrepancies in relation to the processing (including storing and using) of your personal information (including sensitive personal information) to <rize@razorpay.com>.
